3. Non-Refundable Services

The following services are strictly non-refundable once work has begun:

4. Partial Refunds

5. Subscription & Retainer Services

By accessing or using our Services, you (“Client,” “you,” or “your”) agree to these Terms.

1. Scope of Services

We provide: digital marketing (SEO, PPC, social media, email marketing, analytics, content); IT consulting and managed services; cybersecurity services; cloud and SaaS solutions. All Services are defined in separate agreements, Statements of Work (“SOW”), or Service Level Agreements (“SLA”).

2. Engagement Models

a. Retainer Services: Ongoing monthly services billed in advance; defined scope with allocated hours or deliverables; unused hours do not roll over unless stated otherwise; minimum commitment period may apply.

b. One-Time / Project-Based Services: Fixed scope, timeline, and deliverables; changes outside scope may require a change order; payment milestones may apply.

3. No Guarantee of Results

You acknowledge that marketing results (SEO rankings, ad performance, leads) are not guaranteed; technology and cybersecurity outcomes cannot be fully assured. All Services are provided on a commercially reasonable efforts basis.

4. Service Level Agreements (SLAs)

Where applicable, SLAs define uptime, response times, and remedies. Service credits (if any) are your sole remedy for SLA failures.

5. Client Responsibilities

You agree to: provide accurate and timely information; maintain security of credentials; comply with all applicable laws (advertising, privacy, data protection); maintain backups unless explicitly included.

6. Ad Account Ownership & Access

Client retains ownership of all advertising accounts (e.g., Google Ads, Meta Ads) unless otherwise agreed. Client agrees to provide appropriate access permissions to the Company. The Company is not responsible for account suspensions, policy violations, or bans imposed by third-party platforms. Upon termination, access will be returned to the Client, provided all outstanding invoices are paid.

7. White-Label Services

Where Services are provided on a white-label basis: The Client may rebrand and resell Services; the Company remains the underlying service provider; the Client is solely responsible for its end customers, including contracts, representations, and compliance; the Client agrees not to disclose the Company’s involvement unless authorized.

8. Acceptable Use Policy

You may not use Services to violate laws or regulations; distribute spam, malware, or deceptive content; infringe intellectual property rights. We reserve the right to suspend Services for violations.

9. Cybersecurity Disclaimer

We follow industry best practices; however, no system is fully secure. We cannot guarantee prevention of all cyber threats or breaches.

10. Data Protection & Privacy (GDPR/CCPA Compliance)

We are committed to data protection and comply with applicable laws, including CCPA/CPRA and GDPR (where applicable).

Roles: Client is the Data Controller; Company acts as a Data Processor.

Client Obligations: You are responsible for obtaining lawful consent for data collection and marketing; providing required privacy notices; honoring data subject rights requests.

Data Processing: We will process personal data only as instructed by the Client; implement reasonable technical and organizational safeguards; notify Client of data breaches as required by law.

11. Nevada Privacy Compliance

In accordance with Nevada Revised Statutes (NRS 603A): Consumers may request that certain personal data not be sold; we do not sell personal data unless explicitly disclosed; requests may be submitted via ananvayinvestments@gmail.com.

12. Intellectual Property

We retain ownership of all proprietary tools, systems, and methodologies. Upon full payment, Client receives a license to use deliverables. We may use non-confidential work for portfolio purposes unless prohibited.

13. Fees & Payment

Fees are defined in SOWs or agreements. Retainers are billed in advance; projects may require deposits or milestones. Late payments may result in suspension of Services. Ad spend and third-party costs are separate unless stated.

14. Termination

Either party may terminate as defined in agreements, or immediately for material breach. Upon termination, all outstanding fees become due; access to services and systems may be revoked.

15. Limitation of Liability

To the fullest extent permitted under Nevada law: total liability shall not exceed fees paid in the preceding twelve (12) months; we are not liable for indirect, incidental, or consequential damages, including lost profits, data, or business interruption.

16. Indemnification

You agree to indemnify and hold us harmless from claims arising from your content, campaigns, or data; violations of law or third-party rights; your clients (in white-label arrangements).

17. Third-Party Platforms

We are not responsible for changes in third-party algorithms or policies; platform outages or disruptions; account suspensions or removals.

18. Confidentiality

Both parties agree to maintain confidentiality of non-public information.

19. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.

20. Governing Law & Venue

These Terms are governed by the laws of the State of Nevada. Any disputes shall be resolved in the state or federal courts located in Nevada.
